Cohere and Aleph Alpha have signed a definitive business combination agreement. The combined company will operate as Cohere, with headquarters and research operations in Canada and Germany.

Cohere and Aleph Alpha have signed a definitive business combination agreement, advancing their planned combination announced in April, the companies said in a company blog post. The transaction remains subject to regulatory approval and is expected to close later this year.

The combined company will operate globally as Cohere and employ more than 1,000 people across Canada and Europe. It plans to maintain headquarters and research centers in Toronto and Berlin, while keeping Aleph Alpha's Heidelberg office as a research center.

Aleph Alpha executive Ilhan Scheer will become Cohere's chief operating officer after the deal closes. Aleph Alpha cofounder Samuel Weinbach will become Cohere's chief research officer. The company will also continue working with Schwarz Group companies to provide sovereign AI through the STACKIT cloud service.
