Schneider Electric agreed to acquire enterprise software company PTC for $22.6 billion, with the transaction expected to close by the third quarter of 2027.

Schneider Electric agreed to buy PTC for $22.6 billion, according to Data Center Dynamics. The transaction values PTC at $205 per share and is expected to close by the third quarter of 2027.

PTC provides enterprise software for product lifecycle management, computer aided design and application lifecycle management. Schneider Electric plans to combine these products with its industrial software and AI operations.

Schneider Electric will fund the purchase with about €5 billion to €6 billion in equity and €16 billion to €17 billion in new debt. Morgan Stanley and Société Générale are providing a committed bridge facility.

Schneider Electric shares fell nearly 10 percent following the news, while PTC shares rose nearly 36 percent in trading before the market opened.
