OpenAI-Backed Thrive Holdings to Buy ADT in $15.3 Billion Deal

Oct 29, 2026
Thrive Holdings, which counts OpenAI as a partner and investor, will take ADT private for $10 a share, valuing it at $7.6 billion in equity and $15.3 billion including debt.

Thrive Holdings and ADT announced in a press release an agreement for Thrive to acquire the security company in an all cash transaction. ADT shareholders will receive $10 per share, valuing the company at about $7.6 billion in equity and $15.3 billion in enterprise value. The price is a 45.6% premium to ADT's unaffected close on 27 October.

OpenAI is an investor in and partner of Thrive Holdings and supplies models, technology and forward-deployed engineers to its companies, TechCrunch reported. Thrive already holds more than 75 businesses in accounting, IT services and the built environment. Thrive's engineering teams will work with ADT staff on its products and services. The companies have not said which new products they plan. ADT will become the foundation of Thrive's smart home security business.

Funds managed by affiliates of Apollo Global Management are providing the financing. The transaction requires shareholder and US antitrust approval and is expected to close in the first quarter of 2027. ADT will then become privately held and stop trading on the New York Stock Exchange.
